4.3. Modifications: Any changes to project scope after commencement may result in additional charges and timeline adjustments.
5. Payment Terms
5.1. Fees: All fees for services will be outlined in a separate service agreement or invoice.
5.2. Payment Methods: We accept payments through authorized payment gateways, bank transfers, and other approved methods.
5.3. Currency: All payments are to be made in Indian Rupees (INR) unless otherwise specified.
5.4. Taxes: All fees are exclusive of applicable taxes including GST, which will be added to your invoice as per prevailing rates.
5.5. Late Payments: Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
6. Intellectual Property Rights
6.1. Ownership: All custom automation solutions, code, and deliverables created specifically for your project become your property upon full payment.
6.2. Pre-existing IP: We retain all rights to our pre-existing intellectual property, methodologies, frameworks, and generic code libraries.
6.3. License: We grant you a non-exclusive, non-transferable license to use our proprietary tools and frameworks as part of the delivered solution.
7. Confidentiality
7.1. Both parties agree to maintain the confidentiality of any proprietary information received from the other party during the course of the business relationship.
7.2. This obligation shall survive the termination of these Terms for a period of three (3) years.
8. Data Protection
8.1. We comply with applicable data protection laws including the Information Technology Act, 2000 and its amendments.
8.2. We implement industry-standard security measures to protect your data.

9. Warranties and Disclaimers
9.1. Service Warranty: We warrant that our services will be performed in a professional and workmanlike manner.

9.3. Third-Party Services: We are not responsible for any third-party services, APIs, or platforms that may be integrated as part of our solutions.
9.4. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
10. Limitation of Liability
10.1. To the maximum extent permitted by law, Smart Scalability shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
10.2. Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount paid by you for the services in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Smart Scalability, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your breach of these Terms or misuse of our Service.
12. Termination
12.1. Either party may terminate the service agreement with 30 days' written notice.
12.2. We reserve the right to terminate or suspend access immediately, without prior notice, for breach of these Terms.
12.3. Upon termination, all outstanding payments become immediately due.
13. Force Majeure
Neither party shall be liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
14. Dispute Resolution
14.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.
14.2. Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Rampurhat, India.
14.3. Arbitration: Any dispute shall first be attempted to be resolved through arbitration under the Arbitration and Conciliation Act, 2015.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date" above.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
17. Entire Agreement
These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Smart Scalability regarding the use of our Service.
